About the role

Sydney, Australia • Foundation • Full Time

Atlassian is seeking a Governance Lead to join the Foundation team. You'll demonstrate strong governance skills by overseeing the running of our charitable entities. You will be a strategic partner to the Foundation leadership, board and sub-committees with a particular focus on managing the Foundation’s compliance with ATO/ACNC/ASIC obligations, as well as finding improvements.

Responsibilities

  1. Governance and compliance

  • Act as the Foundation’s Company Secretary to ensure high-level support is provided to the Atlassian Foundation Australia (AFA) and Atlassian Foundation International (AFIL) Boards and Board committees to meet their legal, ethical, fiduciary and financial responsibilities and duties

  • Ensure we meet our regulatory reporting requirements, including coordinating annual audit and production of financial statements to ACNC

  • Work closely with each of the Foundation’s teams to oversee our grant partnerships

  • Run board management activities, including board onboarding, skill development and succession planning

  • Support the Foundation’s Finance Lead to manage the Foundation’s financial commitments, and track giving to inform our quarterly and annual stats and financial distribution requirements

  • Work closely with the Foundation’s finance and investment committee to manage and operationalise our Trading Plan, Investing Policy and Impact Investing Guidelines

  • Keep aware of regulatory developments as well as evolving methodologies in corporate / philanthropic governance

  1. Policies and procedures

  • Manage the Foundation’s policy and risk frameworks, including policy development, annual reviews, staff training and implementation

  • Conduct risk assessments that identify and surface risk at the org level, while championing risk management within the team

  1. Record keeping and admin

  • Manage Foundation record-keeping, including: setting up and maintaining efficient and compliant record-keeping framework and procedures, liaising with regulators and timely completion of the annual audit and any returns

  • Manage the governance calendar, and set and run board meetings, including developing agendas based on input, briefing stakeholders, tracking approval workflows, taking and distributing minutes

  • Provide internal advice and assistance with corporate governance issues

Qualifications

Skills, Knowledge and Experience

  • Demonstrated experience with high-level secretariat and reporting at Board level (or equivalent)

  • Demonstrated expertise in corporate governance principles

  • Understanding of charitable entity status and structures (DGR, PAF, PBI)

  • Demonstrated ability to identify and resolve complex problems

  • Highly organised, with strong attention to detail and analytical skills

  • Strong communication, collaboration and senior stakeholder management skills

  • Knowledge and experience with managing governance frameworks – e.g. risk, policy and compliance

  • Experience with policy development and implementation

  • Proficient in legal guidelines and corporate governance standard methodologies in the social impact sector

  • Demonstrated experience in managing budgets, financial records and reporting

  • Ability to work independently and thrive in a remote-work setup

Preferred

  • Company Secretary experience in the not-for-profit sector

  • Experience with Atlassian apps including Jira and Confluence
